RESELLER & PARTNER AGREEMENT

This Agreement ("Agreement") is entered into on this ___ day of ______, 20__, by and between The Gifting Marketplace ("Company"), and [Reseller/Partner Name], ("Reseller/Partner"), having its principal place of business at [Reseller/Partner Address].

1. Scope of Agreement

1.1 The Gifting Marketplace grants the Reseller/Partner the right to promote, sell, and distribute products listed on its platform.
1.2 This Agreement does not establish an employment relationship, franchise, or legal partnership.

2. Reseller/Partner Obligations

2.1 The Reseller/Partner shall promote and sell only the authorized products of The Gifting Marketplace.

2.2 The Reseller/Partner must adhere to the pricing, branding, and marketing guidelines provided by The Gifting Marketplace.

2.3 The Reseller/Partner shall be responsible for ensuring compliance with all applicable local and international laws.

3. Payment & Pricing

3.1 The Gifting Marketplace will provide Resellers/Partners with Partner Payout or Commission each order wise.

3.2 Payments must be made in accordance with the agreed-upon terms specified in individual orders.

3.3 Any disputes regarding payments must be raised within 7 days of the transaction date.

4. Order Fulfillment & Delivery

4.1 The Gifting Marketplace will manage order processing, customization, and fulfillment based on customer requirements.

4.2 The estimated delivery timeline will be communicated at the time of order confirmation.

4.3 The Gifting Marketplace is not responsible for delivery delays caused by third-party shipping providers.

5. Termination

5.1 Either party may terminate this Agreement with 30 days’ written notice.

5.2 The Gifting Marketplace reserves the right to terminate the agreement immediately if the Reseller/Partner is found engaging in fraudulent, unethical, or non-compliant business practices.

5.3. The Gifting Marketplace reserves the right to terminate the agreement for non-performing or inactive partner for 3 months without any order. In that case discount code will get discontinued.

6. Intellectual Property & Branding

6.1 The Gifting Marketplace retains all rights to its trademarks, branding, and intellectual property.

6.2 The Reseller/Partner may only use marketing materials provided or approved by The Gifting Marketplace.

6.3 Any unauthorized modifications to The Gifting Marketplace’s branding elements are strictly prohibited.

7. Limitation of Liability

7.1 The Gifting Marketplace shall not be liable for any indirect, incidental, or consequential damages arising from the Reseller/Partner’s business operations.

7.2 Liability of The Gifting Marketplace shall, in any event, be limited to the total amount of commissions or profits earned by the Reseller/Partner in the last one months.

8. Confidentiality

8.1 Both parties agree to maintain confidentiality regarding trade secrets, pricing structures, and business strategies.

8.2 The Reseller/Partner shall not disclose any confidential information to third parties without prior written consent.

9. Disclaimer

9.1 The Gifting Marketplace acts solely as a platform for connecting buyers with resellers and suppliers.

9.2 The Gifting Marketplace does not guarantee sales, profits, or business success for the Reseller/Partner.

9.3 The Reseller/Partner is solely responsible for ensuring legal compliance in their respective markets.

9.4 The Gifting Marketplace shall not be held liable for any disputes arising between the Reseller/Partner and end customers.

10. Governing Law & Dispute Resolution

10.1 This Agreement shall be governed by the laws of Mumbai only.

10.2 Any disputes arising from this Agreement shall first be attempted to be resolved amicably through mutual discussion.

10.3 If no resolution is reached, disputes shall be settled through arbitration in [Mumbai, INDIA].
